Appointment of Consultant.  Subject to the Agreement's terms, Chihuly appoints Consultant, and Consultant accepts his appointment, as Chihuly's exclusive (as exclusivity is described in subparagraph 1.b. hereof) agent for the purpose of facilitating sales of Chihuly artwork (the “Artwork”) created in any medium by Dale Chihuly (the "Artist") to third party purchasers (each a “Client”).  Consultant as Chihuly's agent has no right to bind, or to purport to bind, Chihuly in any respect (including making any representations or warrants on Chihuly's behalf) other than with respect to the sale of Artwork to Clients and then only pursuant to the terms of this Agreement.

Exclusivity.  Until the first anniversary of the date hereof, Chihuly shall not appoint any other person or entity as a sales representative for Chihuly Artwork if such person or entity is resident in the PRC or operates from a permanent place of business in the PRC.  In the event Consultant achieves Sales (as hereinafter defined) (excluding in any case, sales to Plus Investment and/or Jian Wang) under this Agreement of more than US$1 million prior to the first anniversary of the Effective Date (as hereinafter defined), then the exclusivity described in the preceding sentence shall extend until the second anniversary of the Effective Date unless the Agreement is terminated prior to the second anniversary date per the terms of Paragraph 11.  For purposes hereof, “PRC” means the Peoples Republic of China, excluding Hong Kong and Taiwan. The exclusivity granted to Consultant hereunder notwithstanding, other galleries or consultants appointed by Chihuly who are resident or doing business outside of the PRC may make sales to clients within the PRC and such sales shall give rise to no obligation to Consultant hereunder whether or not Consultant has previously identified such client as a Listed Client (as hereinafter defined).
